COMPREHENSIVE TERMS AND CONDITIONS AGREEMENT FOR PASSAPRESTO
1. Definitions and Interpretative Provisions
1.1 For the purposes of this legally binding Agreement (hereinafter “Terms”), the following capitalized terms shall have the meanings ascribed to them below:
(a) “Platform” shall refer to the entire digital ecosystem comprising the PassaPresto website (https://passapresto.com), all associated subdomains, mobile applications, application programming interfaces (APIs), cloud-based services, and any future technological implementations developed by or on behalf of PassaPresto S.r.l.
(b) “Content” encompasses all intellectual property assets including but not limited to: proprietary question banks, simulated examination modules, video lectures, graphical representations, algorithmic learning tools, gamification elements, user-generated contributions, metadata, and all derivative works created therefrom.
(c) “Subscription” denotes the specific tier of paid access selected by the User from among the available service plans offered by PassaPresto, each with distinct features, limitations, and pricing structures.
(d) “User” refers to any natural or legal person who accesses, registers for, or utilizes any services provided through the Platform, regardless of subscription status.
1.2 The ejusdem generis rule shall apply to the interpretation of all enumerated lists within this Agreement. Headings are inserted for organizational purposes only and shall not be used in the construction or interpretation of any provision.
2. Account Registration, Verification, and Security Protocols
2.1 Eligibility Requirements
(a) Natural persons must have reached the age of digital consent as defined by their jurisdiction of residence, with a minimum threshold of 13 years as established by the U.S. Children’s Online Privacy Protection Act (COPPA) and the EU General Data Protection Regulation (GDPR).
(b) Educational institutions and corporate entities may register through designated enterprise onboarding procedures, requiring submission of valid business registration documents and authorized signatory verification.
2.2 Registration Process
(a) Users must complete all mandatory fields in the registration form with accurate, current, and complete information, including:
- Legal full name
- Valid email address
- Secure password meeting complexity requirements
- Geographic location
- Academic/professional status verification
(b) By completing registration, Users warrant that all provided information is truthful and agree to maintain its accuracy throughout the subscription period.
2.3 Multi-Factor Authentication
(a) PassaPresto implements mandatory two-factor authentication (2FA) for all accounts with access to premium features. Users may select from:
- Time-based one-time password (TOTP) applications
- SMS verification (standard rates may apply)
- Hardware security keys
(b) The Platform reserves the right to require re-authentication under circumstances including but not limited to:
- Login attempts from new devices
- Unusual activity patterns
- High-risk transactions
3. Subscription Services and Payment Terms

(a) Basic Subscription
- Monthly access: €19.99 ± 5% (regional pricing variations apply)
- Annual access: €199.99 (equivalent to €16.67/month)

3.2 Payment Processing and Currency
(a) All transactions are processed in Euros (€) through PCI-DSS compliant payment gateways. Users acknowledge that:
- Non-EU transactions may incur currency conversion fees
- Bank processing delays may affect access timing
- Disputed payments may result in immediate service suspension
(b) PassaPresto utilizes Stripe, Inc. and PayPal (Europe) S.à r.l. as primary payment processors, each subject to their respective terms of service and privacy policies.
3.3 Renewal and Cancellation Procedures
(a) Automatic renewal occurs precisely at the termination of the current subscription period unless:
- The User submits a cancellation request through the designated account portal at least 72 hours prior to renewal
- The payment method on file is declined after three (3) attempted charges
- PassaPresto elects to discontinue the subscription plan
(b) Cancellation requests must be submitted via the authenticated user dashboard. Email or verbal requests shall not constitute valid cancellation notices.
4. Intellectual Property Rights and Usage Limitations
4.1 Ownership and Licenses
(a) PassaPresto retains all right, title, and interest in and to the Platform and Content, including all:
- Copyrights
- Database rights
- Patents
- Trademarks
- Trade secrets
- Other proprietary rights
(b) Users are granted a limited, non-exclusive, revocable license to access and use the Content solely for:
- Personal, non-commercial educational purposes
- Individual study preparation
- Non-competitive academic research
4.2 Explicit Prohibitions
(a) Users shall not, under any circumstances:
- Decompile, reverse engineer, or attempt to derive source code
- Create derivative works for commercial distribution
- Employ web scraping, data mining, or automated extraction tools
- Remove, obscure, or alter proprietary notices
(b) Systematic downloading of question banks exceeding 100 items per 24-hour period constitutes a material breach of these Terms.
5. Data Protection and Privacy Commitments
5.1 Data Collection Framework
(a) The Platform collects and processes the following data categories:
- Identity data (name, contact details)
- Technical data (IP addresses, device characteristics)
- Usage data (interaction patterns, performance metrics)
- Special category data (learning disability accommodations where applicable)
5.2 Compliance Standards
(a) PassaPresto adheres to:
- GDPR (Regulation EU 2016/679)
- ePrivacy Directive 2002/58/EC
- Italian Privacy Code (Legislative Decree 196/2003 as amended)
(b) Data Processing Addendums are available for institutional users requiring GDPR Article 28 compliance documentation.
6. Service Level Commitments
6.1 Availability Guarantees
(a) The Platform guarantees:
- 99.9% uptime for core learning modules
- 99.5% uptime for auxiliary features (forums, messaging)
- 24/7 monitoring through New Relic and Datadog integration
(b) Scheduled maintenance windows:
- Occur biweekly on Sundays 02:00-04:00 CET
- Require 96-hour advance notification
- Exclude critical security patches
6.2 Support Infrastructure
(a) Response time service level objectives (SLOs):
- Critical issues (full service outage): 1-hour response
- High-priority issues: 4-hour response
- Standard inquiries: 24-business hour response
(b) Support channels include:
- In-app messaging (preferred)
- Dedicated support portal
- Emergency contact for institutional users
7. Termination and Suspension Protocols
7.1 User-Initiated Termination
(a) May be effected through:
- Account settings interface (immediate)
- Written request to support (72-hour processing)
(b) Post-termination data retention:
- Active for 30 days (recovery period)
- Archived for 180 days (compliance requirements)
- Anonymized after 365 days
7.2 Platform-Initiated Actions
(a) Immediate suspension may occur for:

- Denial-of-service attacks

(b) Progressive disciplinary measures:
- First offense: Warning and temporary restriction
- Second offense: 7-day suspension
- Third offense: Permanent termination
8. Dispute Resolution and Governing Law
8.1 Mandatory Negotiation Period
(a) Parties agree to engage in good faith negotiation for a minimum of 60 calendar days before initiating formal proceedings.
(b) Negotiations shall be conducted through:
- Secure video conferencing
- Mediated by a neutral third party
- Documented through written summaries
8.2 Jurisdictional Provisions
(a) This Agreement shall be governed by and construed in accordance with the laws of Italy, without regard to conflict of law principles.
(b) Exclusive venue for all disputes shall be the competent courts of Milan, Italy.
9. Modification and Amendment Procedures
9.1 Notification Protocol
(a) Material changes require:
- 60-day advance notice
- Direct communication to all active Users
- Prominent display on the Platform
(b) Non-material changes (typographical corrections, clarifications) may be implemented with 14-day notice.
9.2 Acceptance Mechanisms
(a) Continued use after modifications constitutes acceptance.
(b) Users retaining subscriptions for more than 30 days post-notification are deemed to have accepted revised Terms.
10. General Contractual Provisions
10.1 Force Majeure
Neither party shall be liable for failure or delay in performance resulting from:
- Acts of God
- War or terrorism
- Governmental actions
- Internet infrastructure failures
10.2 Entire Agreement
This document constitutes the complete and exclusive statement of the agreement between the parties, superseding all prior proposals and understandings.
10.3 Severability
If any provision is held invalid, the remainder shall continue in full force and effect.
ACCEPTANCE AND EXECUTION
BY CHECKING THE ACCEPTANCE BOX OR ACCESSING THE PLATFORM, USER ACKNOWLEDGES HAVING:
- Read and understood these Terms in their entirety
- Had the opportunity to seek independent legal counsel
- Voluntarily agreed to be bound by all provisions herein
This Agreement is electronically signed and dated upon User’s initial acceptance. A permanent record of the executed Agreement is maintained in PassaPresto’s secure document management system for the duration of the business relationship plus seven (7) years as required by Italian accounting and tax regulations.
